Credit Staking Terms

"Credits" means prepaid service units denominated in USD cents that can be redeemed for Codmir platform services including AI conversations, code tasks, and other features.

"Staking" means the act of purchasing Credits at a specific pricing round, thereby locking in the purchase price for those Credits.

"Staking Round" means a defined period during which Credits are available for purchase at a specific price per Credit (e.g., Seed Round, Series A, Series B, General Availability).

"Wallet" means your Codmir credit balance, accessible through your account settings.

2.1. Credits are prepaid service units. They represent a right to consume Codmir platform services up to the value of Credits held in your Wallet.

2.2. Credits are not any of the following:

• A cryptocurrency, token, coin, or digital asset
• A security, investment contract, or financial instrument
• A stored-value product, e-money, or virtual currency
• Property that can appreciate in market value

2.3. While Credit pricing may change between Staking Rounds, this reflects changes in platform service pricing, not market-driven asset appreciation. Credits you hold always retain their face value for redeeming platform services.

2.4. Credits exist solely within the Codmir platform database. There is no blockchain, distributed ledger, or peer-to-peer network associated with Credits.

3.1. Credits may be purchased through Stripe, our third-party payment processor. All payments are processed in USD.

3.2. Each Staking Round has a fixed price per Credit, a total pool of available Credits, and per-user purchase limits. These parameters are set by Codmir at its sole discretion.

3.3. Once purchased, Credits are immediately added to your Wallet and are available for use.

3.4. The price per Credit may increase in subsequent Staking Rounds. Codmir makes no guarantee or representation about future pricing, the timing of round transitions, or the availability of any particular Staking Round.

3.5. Staking Round transitions, pricing changes, and pool sizes are determined by Codmir and may be modified at any time without prior notice.

4.1. Non-Transferable. Credits cannot be transferred, gifted, sold, or assigned to any other user or third party.

4.2. Non-Refundable. All Credit purchases are final. No refunds will be issued except as required by applicable law or at Codmir's sole discretion.

4.3. No Cash Value. Credits cannot be redeemed, exchanged, or converted to cash, cryptocurrency, or any other form of payment or value.

4.4. No Resale. You may not resell, broker, or otherwise commercially distribute Credits to third parties.

4.5. Platform Use Only. Credits may only be used to pay for services available on the Codmir platform.

4.6. Account-Bound. Credits are bound to the purchasing account and cannot survive account deletion. If your account is terminated for violation of our Terms of Use, any remaining Credits may be forfeited.

5.1. Staked Credits do not currently expire. Codmir reserves the right to introduce expiration policies with at least 12 months advance notice.

5.2. Codmir's total liability for any Credit-related claim shall not exceed the amount you originally paid for the Credits in question.

5.3. Codmir makes no representations about the future value, utility, or availability of Credits or platform services. Service features may change, be discontinued, or be modified at any time.

5.4. You acknowledge that purchasing Credits in early Staking Rounds does not constitute an investment and that Codmir makes no guarantee of returns, appreciation, or profit.

5.5. Marketing materials referencing "value multipliers" or "savings" compare the purchase price to the projected General Availability price and do not represent guaranteed financial returns.

6. Governing Law

These Credit Terms are governed by and construed in accordance with the laws of the jurisdiction specified in Codmir's general Terms of Use, which are incorporated by reference.

In the event of any conflict between these Credit Terms and the general Terms of Use, these Credit Terms shall prevail with respect to Credit-related matters.
